Welcome to the Soobaby AI application! This Terms of Use (hereinafter referred to as the "Agreement") is jointly entered into by you (hereinafter referred to as the "User" or "You") and Shenzhen NovaVoyage AI Co., Ltd. (hereinafter referred to as "We" or the "Soobaby AI Team"), and has contractual effect.

IMPORTANT NOTICE: Please read all terms of this Agreement carefully, especially the clauses exempting or limiting liability, governing law, and dispute resolution clauses.

By clicking "Agree," "Accept," or starting to use the Soobaby AI services, you indicate that you have fully understood and agreed to accept all contents of this Agreement. If you do not agree with any content of this Agreement, please do not use our services.

1. Definitions and Interpretation

1.1 Definitions

• Soobaby AI App: Refers to the mobile application developed and operated by the Soobaby AI Team, including the iOS version and the Android version.
• Services: Refers to all features and content provided through the Soobaby AI App, including but not limited to baby cry analysis, baby soothing audio playback, user account management, etc.
• User: Refers to all individuals or organizations who register, log in, browse, or use the Soobaby AI App.
• Content: Refers to any information, data, text, audio, pictures, or other materials uploaded, posted, or transmitted by the User through the Soobaby AI App.
• Account: Refers to the personal account registered by the User in the Soobaby AI App.

1.2 Composition of the Agreement

This Agreement includes all terms described herein, as well as other rules, policies, and statements we release from time to time (including but not limited to the Privacy Policy, Community Guidelines, etc.). These rules, policies, and statements form an inseparable part of this Agreement and have equal legal effect.

2. Account Registration and Use

2.1 Registration Eligibility

• You must be 18 years of age or older (or the age of majority in your jurisdiction) to register and use the Soobaby AI services.
• The Services are not directed to children under 13. If you are under the legal age of majority in your region, you must use the Services with the consent of your guardian.
• You must have full civil capacity for rights and full civil capacity for conduct.
• If you are registering an account on behalf of an organization or entity, you represent and warrant that you have the authority to accept this Agreement on behalf of that organization or entity.

2.2 Account Registration

• True Information: You should provide true, accurate, and complete information when registering. If your information changes, you should update it promptly.
• Account Uniqueness: Each email address can only register one account.
• Third-Party Login: If you choose to use a third-party account (such as Google, Apple) to log in, you authorize us to obtain your basic profile information.
• Verification Procedures: We may require you to complete email verification or other identity verification procedures.

2.3 Account Security

• Password Protection: You shall properly safeguard your account password, and shall not disclose the password to others or allow others to use your account.
• Account Responsibility: You are responsible for all activities conducted using your account, whether or not the activity was authorized by you.
• Anomaly Notification: If you discover unauthorized use of your account or a security vulnerability, you should notify us immediately.
• Indemnification: You shall bear the losses caused by your failure to properly safeguard your account information.

2.4 Account Termination

You may delete your account at any time through the in-app settings. After the account is deleted:

• You will no longer be able to access your account and related data
• All personal information and content will be completely deleted within 30 days
• This action is irreversible

3. Service Content and Use Specifications

3.1 Service Features

The Soobaby AI App provides the following main features:

• Baby Cry Analysis: Uses AI technology to analyze baby cries, identify the cry type (such as hunger, sleepiness, discomfort, etc.), and provide care suggestions.
• Baby Soothing Audio: Provides a variety of categorized white noise, nature sounds, and music to help soothe and lull babies to sleep.
• History: Save and view historical analysis records and playback statistics.
• Personalized Recommendations: Provides personalized content recommendations based on usage habits.

3.2 Use Specifications

When using the Soobaby AI Services, you agree to:

• Comply with the laws and regulations in your region
• Not use the Services for illegal or criminal activities
• Not upload, post, or transmit any content that is illegal, harmful, threatening, abusive, harassing, infringing, defamatory, vulgar, obscene, or otherwise objectionable
• Not interfere with or disrupt the normal operation of the Services
• Not attempt to gain unauthorized access to the Services, servers, or networks
• Not use automated tools (such as robots, spiders, etc.) to access the Services
• Not engage in any behavior that may harm our or a third party's interests

3.3 Prohibited Conduct

The following conduct is explicitly prohibited:

• Reverse engineering, decompiling, or disassembling the application
• Copying, modifying, disseminating, or selling any part of the application
• Deleting, hiding, or altering any copyright, trademark, or other proprietary notices in the application
• Renting, lending, selling, or otherwise transferring your account
• Creating fake accounts or impersonating others
• Sending spam, advertisements, or promotional materials
• Infringing upon the privacy rights or other legitimate rights and interests of others

4. Content and Intellectual Property Rights

4.1 User Content

(1) Content Ownership

You retain ownership of the Content you upload or submit (such as audio recordings).

(2) Content License

You grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your Content, but only for the following purposes:

• Providing and improving the Services (such as performing AI analysis)
• Complying with the requirements of laws and regulations
• Protecting our rights, property, or safety

(3) Content Responsibility

You bear full responsibility for the Content you upload. You represent and warrant that:

• You possess all rights and licenses necessary to upload the Content
• Your Content does not infringe upon the rights of any third party
• Your Content complies with this Agreement and applicable laws

4.2 Platform Content

(1) Intellectual Property Ownership

Except for User Content, all content, features, and characteristics in the Soobaby AI App and Services (including but not limited to text, graphics, logos, icons, images, audio, video, software, code, interface design, etc.) are owned by us or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

(2) Use Restrictions

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Soobaby AI Services, but only for personal, non-commercial use. You may not:

• Copy, modify, create derivative works from, reverse engineer, or otherwise exploit the Platform Content
• Use the Platform Content for any commercial purpose
• Download or distribute the Platform Content without permission

4.3 Trademarks

"Soobaby AI" and related logos, graphics, and identifiers are our registered or unregistered trademarks. You may not use these trademarks without our prior written permission.

4.4 Copyright Complaints

If you believe that Content on Soobaby AI infringes your copyright, please contact us at [email protected] and provide the following information:

• A description of the copyrighted work
• The location of the infringing content
• Your contact information
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner
• A statement, made under penalty of perjury, that the above information is accurate and that you are authorized to act on behalf of the copyright owner

5. Privacy Protection

5.1 Privacy Policy

We attach great importance to the protection of your privacy. For information on how we collect, use, store, and protect your personal information, please refer to our Privacy Policy. The Privacy Policy is an inseparable part of this Agreement.

5.2 Consent to Data Use

By using the Soobaby AI Services, you consent to our collection and use of your personal information in accordance with the Privacy Policy.

For EU/UK users, we will obtain your explicit consent (opt-in) where necessary to comply with GDPR requirements.

5.3 Children's Privacy

The Soobaby AI Services are directed to adult users (parents or guardians). We do not knowingly collect personal information from children under the age of 13. Although the App records baby cries, this audio data:

• Does not contain information that identifies the baby
• Is used only for AI analysis of cry characteristics
• Is automatically deleted within 30 days after analysis

6. Disclaimer and Limitation of Liability

IMPORTANT DISCLAIMER: Please pay special attention to this section, as these terms may affect your legal rights and interests.

6.1 Non-Medical Advice

The baby cry analysis and care suggestions provided by Soobaby AI are for reference only and do not constitute medical diagnosis, treatment, or professional medical advice.

AI analysis results are based on audio feature recognition and may contain errors. If your baby experiences any health problems or continuous discomfort, please consult a professional medical practitioner immediately. Do not rely solely on Soobaby AI's analysis results to make medical decisions.

6.2 Services Provided "As Is"

The Soobaby AI Services are provided on an "AS IS" and "AS AVAILABLE" basis, without any express or implied warranties, including but not limited to:

• That the Services will be uninterrupted, timely, secure, or error-free
• That the results of the Services will be accurate or reliable
• That the quality of the Services will meet your expectations
• That any errors in the Services will be corrected

6.3 No Guarantees

We do not guarantee:

• Accuracy: The accuracy and reliability of the AI analysis results
• Suitability: That the Services are suitable for your specific purpose or needs
• Security: That the Services are completely secure, free from viruses or other harmful components
• Availability: That the Services will be accessible at any time or location
• Compatibility: That the Services are compatible with all devices, operating systems, or networks

6.4 Limitation of Liability

To the maximum extent permitted by applicable law, we and our affiliates, directors, employees, agents, suppliers, and licensors shall not be liable for:

• Any indirect, incidental, special, punitive, or consequential damages
• Loss of profits, loss of revenue, loss of data, or business interruption
• Any damages arising from the use or inability to use the Services
• Any damages arising from any errors or omissions in the Services
• Damages caused by any content transmitted by a third party through the Services

The above limitations of liability shall apply even if we have been advised of the possibility of such damages, to the extent permitted by applicable law.

6.5 Liability Cap

In no event shall our total liability to you (whether based on contract, tort, negligence, strict liability, or other theory) exceed the total fees paid by you to us in the six months preceding the event giving rise to the claim, or USD 100, whichever is higher.

6.6 Force Majeure

To the extent permitted by applicable law, we shall not be liable for Service interruptions or data loss caused by force majeure (including but not limited to natural disasters, war, government actions, hacker attacks, telecommunications department technical failures, etc.), but will restore the Services as soon as possible.

7. User Indemnification

To the extent permitted by applicable law, you shall indemnify us for direct damages arising from the following actions:

• Your violation of this Agreement
• Your infringement of any third party's rights
• Your use or misuse of the Services
• Your uploaded Content
• Your violation of any law or regulation

8. Service Changes and Termination

8.1 Service Changes

We reserve the right to modify, suspend, or terminate the Soobaby AI Services (or any part thereof) at any time. We will provide you with advance notice of important changes (such as Service interruptions or fee changes that may affect your rights and interests) within a reasonable scope. We may:

• Add, delete, or modify service features
• Change the availability of the Services
• Adjust the restrictions on the use of the Services
• Introduce new fee-based services

8.2 Service Termination

We may terminate or suspend your account and access rights in the following circumstances without prior notice:

• You violate this Agreement
• Your conduct harms the interests of us or other users
• We receive a legal requirement or government order
• For security or technical reasons
• Your account is inactive for a long period

8.3 Consequences of Termination

After account termination:

• Your access rights will be immediately terminated
• Your data will be handled in accordance with the Privacy Policy
• Terms of this Agreement that by their nature should survive termination (such as intellectual property, disclaimers, indemnification, etc.) will remain in effect

9. Third-Party Links and Services

9.1 Third-Party Services

The Soobaby AI Services may contain links to third-party websites, applications, or services. These third-party services are not under our control, and we are not responsible for their content, privacy policies, or practices.

9.2 Third-Party Service Providers

We use the following third-party service providers:

• Google Sign-In: Provides third-party login services

9.3 Disclaimer

We are not responsible for the availability, accuracy, content, or practices of third-party services. You use third-party services at your own risk.

10. Modification of the Agreement

10.1 Right to Modify

We reserve the right to modify this Agreement at any time. If we make material modifications to this Agreement, we will notify you through the following methods:

• Displaying a notification within the App
• Sending an email to your registered email address
• Updating the "Last Updated" date at the top of this page

10.2 Effectiveness of Modifications

The modified Agreement shall take effect immediately upon posting. Your continued use of the Services after the modifications indicates your acceptance of the modified Agreement.

10.3 Non-Acceptance of Modifications

If you do not agree with the modified Agreement, you should immediately stop using the Services and delete your account.

11. Governing Law and Dispute Resolution

11.1 Governing Law

This Agreement shall be governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles. However, mandatory consumer protection laws in your location still apply.

11.2 Dispute Resolution

Any dispute arising out of or relating to this Agreement shall first be resolved by friendly negotiation between the parties. If negotiation fails, you may:

• File a lawsuit with a competent court in your location
• Seek arbitration or other alternative dispute resolution methods

11.3 GDPR Rights (EU Users)

If you are an EU resident, you enjoy all data protection rights stipulated by the GDPR. In case of a dispute, you may lodge a complaint with the data protection supervisory authority in your member state.

11.4 CCPA Rights (California Users)

If you are a California resident, you enjoy all consumer rights stipulated by the CCPA.

12. Miscellaneous

12.1 Entire Agreement

This Agreement (including the Privacy Policy and other related policies) constitutes the entire agreement between you and us regarding the use of the Soobaby AI Services, superseding all prior oral or written agreements.

12.2 Severability

If any term of this Agreement is found to be invalid, illegal, or unenforceable, the remaining terms shall continue in full force and effect.

12.3 Waiver

Our failure or delay in exercising any right or remedy under this Agreement does not constitute a waiver of that right or remedy.

12.4 Assignment

You may not assign this Agreement or any rights or obligations under this Agreement without our prior written consent. We may freely assign this Agreement.

12.5 Notice

We may send notices to you through the following means:

• In-app notifications
• Sending an email to your registered email address
• Posting announcements on the App or website

The notice shall be deemed served upon transmission.

12.6 Independence

This Agreement does not create any agency, partnership, joint venture, or employment relationship. You are an independent contractor.

• Trust Your Instincts: As a parent, you know your baby best. If you have any concerns, please consult a medical professional.
• Safe Use: Please comply with this Agreement and the Privacy Policy to protect your and your baby's information security.

By using the Soobaby AI Services, you have fully read, understood, and agreed to accept all contents of this Terms of Use.
